 Mail.com Sells Consumer E-mail Business to Net2Phone
NEW YORK--(BUSINESS WIRE)--March 30, 2001--Mail.com, Inc. (NASDAQ:
MAIL - news), a leading global provider of outsourced messaging
services to enterprises and service providers, today announced the
sale of its consumer e-mail business to Net2Phone, Inc. (NASDAQ:
NTOP - news), the leading provider of voice and enhanced services
on IP networks.
Mail.com's consumer e-mail business includes approximately five
million active users and its relationships with high level Web site
partners. Net2Phone will also gain rights to provide highly targeted
e-mail-based advertising and permission marketing solutions to advertisers
as well as the rights to provide e-mail services directly to consumers
through partnerships with other Web sites and at the www.mail.com
domain. The sale enables Mail.com to focus its resources on providing
outsourced messaging services to business customers, as the Company
announced in October 2000.
Net2Phone will take advantage of Mail.com's large consumer user
base by integrating, within the e-mailboxes, premium products and
services including PC-to-Phone services, calling cards and upcoming
rich enhanced services such as voice activated e-mail and other
personal information management (PIM) services.

Under the terms of the sale, Net2Phone paid Mail.com $3.0 million
in cash at closing and will pay an additional $0.5 million subject
to satisfaction of certain milestones. In addition, Mail.com and
Net2Phone have entered into a hosting agreement in which Net2Phone
will pay Mail.com for the hosting of the consumer mailboxes for
a minimum of one year.
